COMMUNITY ASSOCIATIONS

Our firm offers all aspects of support to community associations, commercial associations, homeowners associations, resort communities, and condos. Our services include collections, enforcement, document compliance, corporate governance, litigation, formation, document creation, financing, construction, insurance, licensing, intellectual property, leasing, land use, zoning, the sale and acquisition of property, special assessments, document drafting, document amendments, legal opinions, terminations, condo conversions, management, and annual elections, among other services.

BUSINESS LAW

For start-ups, publicly traded corporations, real estate companies, or association communities, our attorneys have assisted in all aspects of business law. From business formation, creation, and document drafting to corporate compliance, Intellectual Property, and marketing issues, our attorneys help in every aspect of business law. We assist clients in the drafting and negotiation of purchase and sale agreements, commercial lending, e-commerce, distribution, manufacturing, and other contractual agreements. With many of our attorneys operating as general counsel or in-house lawyers, our attorneys are experienced at resolving issues to avoid litigation; however, if litigation is unavoidable, we tackle litigation aggressively, but resolve cases in the most commercially practicable manner possible.

ASSOCIATION INSURANCE DEFENSE

With significant experience in highly-complex, novel, and idiosyncratic litigation issues unique to community associations, we are often the first choice for the insurance carrier in association specific insurance defense litigation. Though we often serve as lead counsel in these matters, we have also assisted and provided co-counsel support to a carrier's traditional insurance defense firm. When it comes to litigating complex Florida Statues Chapter 720 and 718 issues for a carrier's insured, we use our industry specific knowledge to ensure that an insured community's rights are protected to the fullest extent at all levels of litigation to achieve economically efficient results.

As general counsel, we take a comprehensive approach to communities and offer everything a community needs. We represent communities of all sizes. We work closely along-side our clients to focus on corporate strategies that allow communities to operate with a full budget, improve property values, solve community problems, and reach community goals.

REAL ESTATE

We provide a wide range of legal services relating to all real estate situations throughout the State of Florida, including purchase, sale, leasing and financing transactions. From acquisition, through construction and sale, we provide legal services in real estate projects for businesses, multi-family complexes, mixed-use developments, condominiums, office parks, and planned community developments.

COMPLEX LITIGATION

Our Litigation Group meets the unique legal needs of every client. We work closely with all the firm's resources to protect the rights of our clients. From industry leading novel issues and complex cases, to appellate litigation, to plaintiff litigation, to complex defense litigation. Nathan A. Frazier
Managing Partner, Florida
Department Head, Residential & Resort Communities

Nathan A. Frazier is the firm's managing partner for the State of Florida. Nathan has worked with hundreds of clients across the state - from as far north as Jacksonville to as far south as Key Largo. Nathan has been Board Certified as an expert in Condominium and Planned Development Law by the Florida Bar and Florida Supreme Court and is one of the most foremost experts in the field. His practice is unique in that it focuses on being outside general counsel for his clients, but also incorporates industry leading technology by joining proprietary software with leading industry companies.

Nathan serves as outside general counsel for residential communities, and has extensive experience in solving major problems, rescuing financially distressed associations, and finding creative legal solutions for any issue a community faces. His clientele and practice proliferated across Florida as his proprietary mathematical models and technology helped communities project future revenues and achieve unprecedented and unparalleled financial success. Prior to becoming the managing shareholder of the firm, Nathan previously practiced at Bush Ross, P.A., and Chaired the Residential & Resorts Communities Department at the prestigious Tampa real estate law firm Mechanik Nuccio Hearne & Wester, P.A., where he grew the Department to five times its original size.

Nathan's practice is unique in that he has also counseled real estate firms, real estate developers, banks, financial institutions, hedge funds, and venture capitalists in the evaluation, purchase, investment, financing, development, sale, and litigation of real property and corporate assets. His experience in representing financial enterprises and his background in business is an asset in helping provide not just legal solutions to his client, but also practical, entrepreneurial solutions that create long-term corporate efficiencies and save costs. With his end-result client focus, Nathan has also assisted entrepreneurs, start-up enterprises, and small businesses with aspects of growing the company and the preliminary issues of corporate formation, corporate structuring, and raising capital.

Nathan's clients are communities and resorts of all sizes, from some of the largest and most premier in the state, to small condominiums of only 6 units. Nathan's policy is that no community is too big or too small to help. He works closely with existing community relationships and community budgets to orchestrate a comprehensive community or resort plan for both solving short-term problems and achieving long-term goals. As outside general counsel, he takes the unique view that his guidance is involved in all aspects of the community, but a community only incurs legal fees when his group puts "pen to paper." This adds an immense amount of value to communities and their volunteer board members; it reflects back to the founding principal of his practice that guides the decisions of all of his board's: "Create Value with Every Decision You Make."

In addition to his legal practice, Nathan is very active in many of the real estate organizations across Tampa Bay and the state of Florida. He sits on the Executive Board of the Bergstrom Counsel, the Executive Council of the Florida Bar's Real Property, Probate, and Trust section, is involved with the Downtown Tampa Partnership, and serves on multiple Florida Bar committees in the industries he serves, including the Condominium and Planned Development Committee, the Commercial Real Estate Committee, and the Real Property Finance & Lending Committee. Nathan is also involved in the Community Associations Institute's Suncoast Chapter, which focuses on bringing professionals and community associations together to build better communities throughout the state.

Prior to practicing law, Nathan owned a business and also had a baseball career, which included playing shortstop at Wake Forest University and being ranked in the Top-40 Infielders in the United States by Baseball America. He also occasionally counsels former teammates and professional athletes in a variety of contractual and corporate matters.
